Terms & Conditions

1. Introduction
These Terms and Conditions ("Terms") govern your use of the Voice For Locals Business mobile application (the "App") and related services provided by Voice For Locals ("Voice For Locals", "VFL", "we", "our", or "us").
By creating a business account, signing in, or using the App, you agree to be bound by these Terms on behalf of yourself and the business you represent. You confirm that you have authority to bind that business to these Terms.
These Terms should be read together with our Privacy Policy and Terms of Use.
2. About Voice For Locals
Voice For Locals provides a platform enabling local businesses to connect with shoppers, manage loyalty rewards and campaigns, process payments, and access business insights.

3. Business Eligibility
3.1 Who May Register
The App is available to:
- Sole traders aged 18 or over
- Partners authorised to act on behalf of a partnership
- Directors, officers, or authorised representatives of limited companies
- Authorised staff members invited as till assistants (subject to Section 12)
You must have the legal capacity and authority to enter into these Terms on behalf of the business.
3.2 Business Types

3.3 Prohibited Businesses
We may refuse or terminate registration for businesses engaged in unlawful activity, activities prohibited by payment providers, or categories restricted by our platform policies.
3.4 Geographic Scope
The App is designed for businesses operating in the United Kingdom. You are responsible for compliance with applicable laws in your jurisdiction.
4. Account Registration and Authentication
4.1 Registration Methods
Business accounts may be created using:

We do not receive your Google or Apple account passwords.
4.2 Account Security
You are responsible for maintaining the confidentiality of login credentials and for all activity under your business account, including activity by till assistants you authorise. Notify us promptly at support@voiceforlocals.co.uk of any suspected unauthorised access.
4.3 OTP Verification
Account deletion and certain sensitive actions require OTP verification via your registered email or mobile telephone number.
5. Business Profile and Verification
5.1 Profile Accuracy
You agree to provide accurate and current business information, including:
- Business name, trading name, and description
- Business category and subcategories
- Opening hours, contact details, and address
- Logo, photographs, and promotional content
- Website and social media links
Inaccurate profiles may be suspended and may mislead consumers, exposing you to regulatory or legal liability.
5.2 Companies House Verification
For limited companies, we retrieve publicly available information from Companies House via our backend systems to verify registration. You authorise us to perform such lookups using the company registration number you provide.
You must ensure your Companies House records are current and that you are an authorised representative of the registered entity.
5.3 Sole Trader Verification
Sole traders must provide a valid National Insurance (NI) number for identity verification. NI numbers are processed under legal obligation and contractual necessity and are stored securely. They are not shared with other businesses on the platform.
5.4 Google Business Profile Linking
You may optionally link your Google Business Profile to import business name, address, coordinates, opening hours, and category data via Google Maps/Places APIs. Linking requires your explicit action in the App. You must have authority to link the relevant Google Business Profile.
6. Subscriptions and Fees
6.1 Subscription Plans
Access to certain App features requires an active subscription:

All prices are subject to VAT at the applicable UK rate (currently 20% unless otherwise stated). Invoices will show VAT separately where required.
6.2 Payment Processing
Subscription payments are processed through Stripe. By subscribing, you authorise recurring charges to your selected payment method until you cancel.
6.3 Plan Changes and Price Updates
We may modify subscription features or pricing with reasonable notice. Price changes apply from your next billing cycle after notice, unless you cancel before the change takes effect.
6.4 Cancellation
You may cancel your subscription through the App or by contacting us. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods except where required by law or expressly stated.
6.5 Non-Payment
Failure to pay subscription fees may result in suspension of premium features or account restriction until payment is received.
7. Wallet and Credits
7.1 Business Wallet
The App may provide a wallet for prepaid credits used for platform services (including AI image generation fees and campaign-related charges). Wallet top-ups are processed via Stripe.
7.2 Credit Use
Credits are consumed according to service fees displayed in the App at the time of use. We will use reasonable efforts to show current pricing before charges are applied.
7.3 Forfeiture on Deletion
Outstanding wallet credits are forfeited upon account deletion. You will be warned of forfeiture before confirming deletion. We do not provide refunds for unused credits except where required by law.
7.4 No Interest
Wallet credits do not accrue interest and are not transferable between businesses except where we expressly permit.
8. Payments and Stripe Connect
8.1 Stripe Connect Onboarding
To receive payments from shoppers through the platform, you must complete Stripe Connect onboarding and maintain an active, compliant Stripe connected account.
You agree to comply with Stripe's terms of service and acceptable use policies. We may suspend payment features if Stripe suspends or terminates your connected account.
8.2 Shopper Payments
Payments from shoppers are processed by Stripe and settled to your connected account according to Stripe's payout schedule and our platform configuration. Voice For Locals is not the merchant of record for shopper transactions unless expressly stated.
8.3 Fees and Deductions
Platform fees, subscription charges, and wallet debits may be deducted in accordance with your plan and applicable fee schedules displayed in the App or in your monthly statements.
8.4 Clover POS Integration
If you connect a Clover point-of-sale terminal, you authorise synchronisation of order and transaction data for reconciliation with Voice For Locals loyalty and payment records. Clover integration is optional and subject to Clover's terms.
You are responsible for maintaining your Clover account and device connectivity.
9. AI Image Generation
9.1 Service Description
The App offers AI-generated promotional images using Google Gemini (processed server-side via our backend) based on text prompts and parameters you provide.
9.2 Fees
AI image generation may incur wallet credit charges or other fees as displayed in the App at the time of generation.
9.3 Your Responsibility
AI-generated content may not always be accurate, suitable, or free from third-party intellectual property concerns. You are responsible for reviewing all AI-generated content before publishing it in rewards, campaigns, or public business profiles.
We do not guarantee that AI-generated images comply with advertising standards, consumer protection law, or intellectual property rights. You publish AI content at your own risk.
10. Campaigns, Rewards, and Vouchers
10.1 Creating Campaigns
You may create rewards, vouchers, and campaigns with audience targeting based on demographics, location radius, audience profiles, and other criteria available in the App.
You are solely responsible for:
- The accuracy of offer terms (discount amounts, validity periods, exclusions)
- Compliance with consumer protection and advertising regulations
- Honouring valid redemptions at point of sale
10.2 Audience Targeting
Campaign audience targeting uses shopper profile and preference data in accordance with our Privacy Policy. You must not use targeting to discriminate unlawfully or in a manner that breaches equality legislation.
10.3 Live Shopper Heatmap
Campaign tools may include a near-real-time shopper heatmap showing aggregated GPS coordinates of shoppers who have Live Mode enabled within approximately 0.6 miles (1 km) of your business.

This feature relies on shopper consent to Live Mode as described in the Shoppers App Privacy Policy.
10.4 Voucher QR Codes
You may issue voucher QR codes for shopper redemption. Vouchers must clearly state terms and conditions. You are responsible for training staff and till assistants on valid redemption procedures.
11. Voucher Scanning and Till Assistants
11.1 QR Scanning
The App uses your device camera to scan shopper voucher QR codes. Scan records, validation outcomes, and timestamps are logged for audit purposes.
11.2 Till Assistants
Business owners may invite till assistants with scoped access to voucher scanning functions. You are responsible for:
- Ensuring assistants are authorised and trained
- All scanning activity performed under assistant accounts
- Promptly revoking access when assistants leave your employment

12. Feedback Dashboard and Consumer Reviews
12.1 Review Display
Consumer reviews, ratings, and feedback submitted through the Shoppers App may be displayed on your business dashboard and public business profile.
12.2 Your Obligations
You must not manipulate reviews, incentivise fake reviews, or retaliate against consumers for honest reviews. You may respond to reviews through the platform where that feature is available.
12.3 Consumer Data
Where you receive consumer personal information through redemption reports or review dashboards, you must handle it in compliance with UK GDPR and only for legitimate business purposes related to the platform. See our Privacy Policy, Section 15.
13. Partner Search and Network
The App may enable you to search for and connect with partner businesses for cross-promotion or referral relationships. Partner arrangements between businesses are independent of Voice For Locals. We are not a party to partner agreements and are not liable for disputes between businesses.
14. Monthly Statements and Tax
14.1 Statements
The App generates monthly statements summarising transactions, fees, credits, and related account activity. You may export statements in formats available in the App (e.g. PDF, CSV).
14.2 Tax and VAT
You are solely responsible for:
- Determining and paying all taxes arising from your business activity
- VAT registration and reporting where applicable
- Providing accurate VAT numbers during onboarding where requested
- Issuing receipts or invoices to consumers as required by law
Voice For Locals does not provide tax advice. Subscription invoices will reflect VAT where we are required to charge it.
15. Account Deletion
15.1 Process
You may delete your account via Profile → Delete Account in the App. Deletion requires OTP verification.
15.2 Timeline and Effects
Upon confirmed deletion:
- Your account enters a deletion process, typically completed within 30 days
- You will be warned if outstanding wallet credits will be forfeited
- Your business profile is removed from public display
- Till assistant accounts associated with your business are deactivated
- Financial records required for legal compliance may be retained in anonymised or pseudonymised form
15.3 Active Subscriptions
You should cancel active subscriptions before deletion. Deletion does not automatically entitle you to a refund of prepaid subscription periods except where required by law.
16. Service Availability and Changes
We aim to maintain App availability but do not guarantee uninterrupted operation. Maintenance, updates, third-party outages (Stripe, Google, Clover), or force majeure events may cause downtime.
We may modify features, fee schedules, or these Terms with reasonable notice where practicable. Continued use after the effective date of updated Terms constitutes acceptance.
17. Intellectual Property
The App, platform software, branding, and documentation are owned by or licensed to Voice For Locals. You receive a limited, non-exclusive, non-transferable licence to use the App for your business operations in accordance with these Terms.
You retain ownership of business content you upload (logos, photos, descriptions) subject to the licence you grant us to display and distribute it on the platform.
18. Limitation of Liability
18.1 Exclusions
To the fullest extent permitted by law, Voice For Locals shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Failures of third-party services (Stripe, Google, Apple, Clover, Companies House)
- Consumer conduct, payment disputes between you and shoppers, or review content
- Inaccurate AI-generated content that you publish without adequate review
- Loss of wallet credits or unused subscription value following permitted account termination
18.2 Cap on Liability
Subject to Section 18.3, our total aggregate liability arising from these Terms or your use of the App shall not exceed the greater of:
- £500, or
- The total subscription and platform fees paid by you to Voice For Locals in the 12 months preceding the claim
18.3 Non-Excludable Liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under the laws of England and Wales.
19. Indemnity
You agree to indemnify Voice For Locals against claims, losses, damages, and expenses (including reasonable legal fees) arising from:
- Your breach of these Terms or our Terms of Use
- Your business content, campaigns, vouchers, or AI-generated materials
- Your handling of consumer data outside permitted purposes
- Disputes with consumers relating to your goods, services, or offers
- Till assistant conduct under your account
20. Governing Law
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle disputes arising from these Terms, subject to any mandatory rights that cannot be waived.
21. General Provisions
21.1 Entire Agreement
These Terms, together with our Privacy Policy and Terms of Use, constitute the entire agreement regarding the App.
21.2 Severability
Invalid provisions shall not affect the remainder of these Terms.
21.3 No Waiver
Failure to enforce a provision is not a waiver.
21.4 Assignment
You may not assign these Terms without our written consent. We may assign to an affiliate or successor.
